01Parties & the agreement
These terms ("Terms") form a binding agreement between Longo Tech Pty Ltd (ACN 665 472 177; ABN 55 665 472 177), trading as VoxTek ("VoxTek", "we", "us"), and the business customer who registers for or uses the platform ("Customer", "you").
By creating an account, ticking the acceptance box at sign-up, accepting a quote, or otherwise using the VoxTek platform, you agree to these Terms. If you enter into these Terms on behalf of a business, you confirm you are authorised to bind that business.
02Eligibility & your account
VoxTek is a business-to-business service. To register you must be acting for a business, provide accurate business details including a valid Australian Business Number (ABN), and be authorised to transact on that business's behalf.
New accounts are reviewed and approved by VoxTek before they become active. We may decline or revoke an account at our discretion. Once approved, you are responsible for:
- Keeping your sign-in credentials confidential and completing multi-factor authentication where required. (Multi-factor authentication is mandatory for password sign-in; it is not required where you sign in with Microsoft, which provides its own authentication.)
- All activity that occurs under your account and the actions of anyone you authorise to use it.
- Keeping your business, contact, billing and delivery details accurate and up to date.
- Telling us promptly at info@voxtek.com.au if you suspect unauthorised access to your account.
03What VoxTek does
VoxTek provides an online platform through which you can:
- Search a catalogue of IT hardware and configure build-to-order systems.
- Request quotes, which we prepare using current pricing and availability sourced from our distribution partners.
- Place and manage orders, and track them through to delivery.
- Choose how to pay, including equipment finance where you are approved for it.
VoxTek is a reseller and procurement platform. We are not the manufacturer of the products supplied, and we do not provide accounting, financial, tax or legal advice. Product specifications, images and descriptions are provided by manufacturers and distributors and are indicative only.
04Quotes & pricing
- Quotes are issued in Australian dollars and, unless stated otherwise, are shown inclusive of GST.
- A quote is valid for 14 days from issue unless a different period is stated on the quote. After it lapses, a quote may be revived at current pricing — if a supplier's cost has changed, the quote is automatically re-priced to reflect the current cost.
- Pricing depends on distributor cost and stock at the time of quoting and can change without notice until you accept. Hardware markets move quickly; we reserve the right to correct manifest errors in pricing or specification before accepting an order.
- Freight is quoted by delivery zone and is shown on the quote and order. Some orders qualify for free freight as indicated.
05Orders
When you accept a quote it becomes an order. Each request, quote and order carries a sequential reference (for example SR-, Q- and O- numbers) so it can be tracked end to end. We will confirm your order by email.
An order is an offer by you to purchase, which we accept when we confirm it and, where applicable, receive cleared payment or a signed finance contract. We may decline or cancel an order — for example where stock is no longer available, a pricing error has occurred, or we are unable to verify your account — and where you have already paid for a cancelled order we will refund you.
06Payment
You may pay for an order by:
- Card. Card payments are processed securely by our payment provider, Stripe. VoxTek does not store your full card details.
- EFT (invoice). We issue a tax invoice payable by electronic funds transfer to: Longo Tech Pty Ltd, BSB 062-692, Account 7603 2742. Please use your order reference as the payment reference.
- Equipment finance. Where approved — see clause 7.
Unless agreed otherwise in writing, invoices are payable within the terms stated on the invoice, and goods remain our property until paid for in full (see clause 8). We may withhold dispatch until payment is cleared or a finance contract is signed.
07Equipment finance
VoxTek can facilitate equipment finance so you can acquire hardware on a lease or finance arrangement rather than paying upfront.
- Finance is subject to approval by a third-party funder and to that funder's own terms. VoxTek arranges and facilitates the finance; the finance contract itself is between you and the funder.
- Where you choose finance, your order moves into a finance review stage. We prepare the finance documentation, confirm the monthly figure with you, and send the contract for signing. Your order proceeds once the contract is signed.
- Monthly amounts, terms and any rate or residual are set out in the finance documentation you sign. Nothing on the platform is an offer of credit or a representation that finance will be approved.
08Delivery, title & risk
- We arrange delivery to the address on your order. Delivery timeframes are estimates and depend on stock and distributor lead times.
- Risk in the goods passes to you on delivery to your nominated address.
- Title in the goods remains with VoxTek (or, where financed, passes as set out in the finance contract) until we have received payment in full. Until then you must keep the goods identifiable and insured.
- Where a configured or assembled system is ordered, additional build or assembly time may apply and will be indicated.
09Warranties & returns
Hardware is covered by the manufacturer's warranty applicable to each product, and we pass those warranties through to you. Warranty terms, periods and service levels are set by the manufacturer.
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under that law or any other law that cannot lawfully be excluded.
Returns, dead-on-arrival claims and warranty repairs are handled in line with the relevant manufacturer's and distributor's policies. Please contact orders@voxtek.com.au as soon as possible if something arrives faulty or incorrect, and do not dispose of packaging until the issue is resolved. Change-of-mind returns are at our discretion and may attract a restocking fee charged by the distributor.
10Acceptable use
You agree not to misuse the platform. In particular, you must not attempt to gain unauthorised access to it, interfere with its operation, scrape or harvest pricing or catalogue data for competing commercial purposes, or use it other than for genuine procurement for your business.
11Intellectual property
VoxTek (including the platform, its software, interface, catalogue compilation and documentation) is owned by Longo Tech Pty Ltd. You receive a non-exclusive, non-transferable licence to use the platform for your own procurement for the duration of your account. You may not reverse-engineer, resell, sublicense or copy the platform except as the law expressly allows. Your account information and order history remain yours.
12Privacy
We handle personal information in accordance with our Privacy Policy, which forms part of these Terms and is aligned to the Australian Privacy Act 1988 and the Australian Privacy Principles.
13Liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, consequential, special or punitive loss, or for loss of profit, revenue, data, goodwill or anticipated savings.
- VoxTek's total aggregate liability arising out of or in connection with an order, however arising, is capped at the price paid for that order.
- We are not liable for delays or failures caused by manufacturers, distributors, finance funders, carriers or other factors outside our reasonable control.
- Nothing in this clause limits liability that cannot lawfully be limited, including under the Australian Consumer Law, or liability for fraud or wilful misconduct.
Where our liability for a failure to comply with a consumer guarantee can be limited, it is limited (at our option) to replacing the goods, supplying equivalent goods, or paying the cost of doing so.
14Term & termination
- These Terms apply for as long as you hold a VoxTek account, and continue to apply to any order until it is fulfilled and paid for.
- Either party may close the account on reasonable notice. We may suspend or close an account immediately for breach of these Terms, suspected fraud, non-payment, or where required by law.
- Closing your account does not affect orders already placed, amounts already owing, or any term that by its nature should survive (including clauses on payment, title, liability, intellectual property and governing law).
15Changes to these terms
We may update these Terms to reflect changes to the platform, the law, or our business practice. For changes that materially reduce your rights or increase your obligations, we will give reasonable prior notice. The version and "Last updated" date at the top of this page reflect the current Terms; orders are governed by the Terms in force when the order is placed.
16General
- Governing law. These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria.
- Force majeure. Neither party is liable for a failure to perform caused by an event outside their reasonable control.
- Assignment. You may not assign these Terms without our consent. We may assign to a successor in a merger or sale of substantially all of our assets.
- Notices. Notices to VoxTek may be sent to info@voxtek.com.au. Notices to you may be sent to the email on your account.
- Entire agreement. These Terms, the Privacy Policy, the quote and the order form the entire agreement between us on this subject matter.
